Terms of Service
These terms govern the business relationship between Hebei Hedelong Water Treatment Co., Ltd. and our valued partners and customers worldwide. Please read them carefully before entering into any commercial arrangement with us.
Article 01
Cooperation Scope
These Terms of Service ("Terms") govern all commercial transactions and cooperative arrangements between Hebei Hedelong Water Treatment Co., Ltd. ("Hedelong," "we," or "us") and any enterprise, institution, project buyer, or authorized agent ("Customer" or "you") procuring products, systems, or services from us. By placing an order, signing a sales contract, or otherwise engaging our services, you agree to be bound by these Terms.

Scope Clarifications
- B2B Only: Hedelong operates exclusively in the business-to-business (B2B) space. These Terms do not apply to consumer or retail transactions.
- Geographic Coverage: These Terms apply to both domestic (China) and international transactions. For cross-border orders, additional export compliance clauses may be incorporated into the signed sales contract.
- Contract Precedence: Where any provision of a duly signed sales contract or purchase agreement conflicts with these Terms, the sales contract shall prevail with respect to that specific transaction.
- Acceptance: Submitting a purchase order, countersigning a quotation, or making a deposit payment constitutes full acceptance of these Terms.
Article 02
Order Rules
2.1 Minimum Order Quantity (MOQ)
MOQ requirements are established to ensure cost-effective production and material procurement. Quantities below the stated MOQ may be accepted at Hedelong's discretion with a corresponding small-order surcharge, as detailed in the quotation.

2.2 Payment Terms
All quoted prices are in USD unless explicitly stated otherwise in the sales contract. Prices do not include freight, insurance, customs duties, or local taxes unless specifically noted as CIF or DDP terms.
Required upon order confirmation. Production scheduling begins only after deposit is received and cleared.
Due prior to shipment, upon presentation of packing list and shipping documents.
Irrevocable at-sight letter of credit accepted for orders exceeding USD 50,000.
Accepted Methods: Telegraphic transfer (T/T), irrevocable L/C at sight, and other methods as mutually agreed in writing.
Late Payment: Overdue balances accrue a penalty of 0.05% per calendar day on the outstanding amount. Hedelong reserves the right to suspend shipment or production for accounts with overdue balances exceeding 15 days.
Currency Risk: For contracts denominated in currencies other than USD, exchange rate fluctuations exceeding ±5% from the contract date may trigger a renegotiation of pricing by mutual agreement.
2.3 Delivery Schedule & Lead Times
Lead times commence from the date the deposit payment is received and confirmed in Hedelong's bank account. The following are standard reference timelines; actual lead times will be confirmed in writing in the sales contract or order acknowledgment.
Standard Off-the-Shelf Equipment
Catalog models with minor configuration adjustments; no new tooling required
Custom-Engineered Systems
Full customization with unique process design, bespoke fabrication, and prototyping
Large-Scale & Turnkey Projects
Desalination plants, multi-unit installations, or projects requiring site commissioning
Hedelong shall promptly notify the Customer in writing of any anticipated delay exceeding 5 business days. Hedelong shall not be liable for delivery delays caused by Force Majeure events, including but not limited to acts of god, pandemics, supply chain disruptions, port congestion, natural disasters, or regulatory restrictions imposed by governmental authorities.
2.4 Order Amendment & Cancellation
Amendment Requests: Customers may request order amendments (e.g., quantity, specification changes) within 5 business days of order confirmation at no additional charge, provided production has not commenced. Amendments after production starts are subject to an engineering change fee quoted separately.
Cancellation Before Production: Orders cancelled before production commences will result in forfeiture of the deposit to cover administrative and procurement costs already incurred.
Cancellation After Production: Orders cancelled after production is underway will be subject to compensation equivalent to the costs incurred by Hedelong up to the point of cancellation, which may exceed the deposit amount.
Article 03
Customization Terms
3.1 Prototyping & Sample Fees
For non-standard, bespoke, or first-run customized equipment, a prototyping fee ("Sample Fee") is required prior to commencing production. This fee covers engineering design labor, specialized material procurement, trial fabrication, and quality testing of the prototype unit.
Reference Fee Ranges
- Small components & fittings: USD 200 - 800
- System sub-modules & skids: USD 1,000 - 5,000
- Full custom systems: individually quoted
- Exact fee confirmed in writing prior to commencement
Refund & Deduction Policy
- Non-refundable once prototype production has begun
- Deductible from the first bulk production order if contracted MOQ is met within 12 months
- Fully refundable if Hedelong fails to deliver an approved sample within the agreed timeline
Sample Fee payment triggers a formal design review and sign-off process. Any specification changes requested by the Customer after design sign-off will require a revised Sample Fee quotation.
3.2 Tooling & Mold Ownership
Ownership of tooling, molds, jigs, and fixtures ("Tooling") created in connection with a Customer order is determined by the funding arrangement as follows:

Storage & Maintenance: Tooling held at Hedelong's facility will be maintained in good working condition for a minimum of 3 years from the date of the last production run at no storage charge.
Transfer of Customer-Owned Tooling: Customer-owned tooling may be physically transferred to the Customer or a nominated third party upon written request and full settlement of all outstanding invoices. All associated packing and freight costs are borne by the Customer.
Abandoned Tooling: Tooling with no production activity for more than 12 consecutive months will be deemed abandoned. Hedelong will issue a written notice; if no response is received within 30 days, Hedelong reserves the right to dispose of or repurpose the tooling without further obligation.
3.3 Design Approval & Specification Lock
Requirements Submission
Customer submits detailed technical specifications, drawings, and process parameters

Hedelong issues engineering drawings for Customer review and written approval
Production Commencement
Production begins only after written design approval and deposit confirmation
3.4 -- Intellectual Property & Confidentiality
All technical drawings, process schematics, engineering specifications, software, and know-how developed by Hedelong -- whether independently or as part of a customization project -- remain the exclusive intellectual property of Hedelong unless explicitly transferred in writing.
Customers may not reproduce, reverse-engineer, sublicense, or disclose Hedelong's technical documentation to any third party without prior written consent. Violation of this clause entitles Hedelong to seek immediate injunctive relief and compensation for damages.
Customer-provided specifications, process data, and technical requirements shall be treated as strictly confidential by Hedelong and used solely for the purpose of fulfilling the applicable order. This obligation survives termination of the business relationship for a period of 5 years.
Article 04
Quality & After-Sales
4.1 Quality Standards & Compliance
All equipment manufactured by Hedelong is produced in compliance with applicable Chinese national standards (GB standards) and, where specified by the Customer, internationally recognized standards including ISO, ASME, CE, and NSF/ANSI. Conformance certificates and test reports are available upon request and will be included in the shipping documentation package.
4.2 Goods Inspection
Pre-Shipment Inspection
- Factory Acceptance Test (FAT) conducted by Hedelong's internal QC team before every shipment
- Customer or their appointed third-party inspector is welcome to witness FAT with at least 5 business days' advance notice
- Full test reports, inspection certificates, and packing lists provided with shipment documentation
- Third-party inspection costs (e.g., SGS, Bureau Veritas) are borne by the Customer unless otherwise agreed
Inspection Upon Receipt
- Customer must inspect all goods within 7 calendar days of the confirmed date of receipt
- Any claims for quantity shortage, visible damage, or specification non-conformance must be submitted in writing with dated photographic evidence and the packing slip
- Failure to notify Hedelong within the 7-day window constitutes unconditional acceptance of the goods as delivered
- Transit damage claims must first be filed with the freight carrier or insurer; Hedelong will provide supporting documentation to assist
4.3 Warranty Policy
Month Standard Warranty
Starts from date of commissioning or 18 months from ex-factory shipment date, whichever is earlier
Warranty Covers
- Manufacturing defects in materials and workmanship
- Functional failures under the specified design operating conditions
- Repair or replacement of confirmed defective components at Hedelong's cost
- Shipping cost of replacement parts (to the original delivery destination) during warranty period
Warranty Excludes
- Damage resulting from improper installation, operation outside specified parameters, or misuse
- Normal wear and consumable items (membranes, filter cartridges, seals, O-rings)
- Damage caused by unauthorized repairs, modifications, or use of non-Hedelong spare parts
- Corrosion or deterioration from water quality or chemicals outside the agreed design specifications
To submit a warranty claim: contact Hedelong's after-sales team in writing with a description of the defect, relevant photographs, and the original order or invoice number. Hedelong will respond with a diagnosis and remediation plan within 5 business days of receiving a complete claim submission.
4.4 After-Sales Support Services
Remote Technical Support
Online diagnosis and guidance within 24 hours of request submission, via email, video call, or messaging platform
On-Site Field Service
Qualified field engineers dispatched when remote support cannot resolve the issue; travel and accommodation costs quoted separately
Training & Documentation
Operation & maintenance manuals, installation guides, and optional operator training programs included or available as add-ons
Article 05
Liability & Dispute Resolution
5.1 Breach of Contract
Customer Breach
- Late payment: 0.05% daily penalty on the overdue balance, accruing from the due date
- Cancellation after production has commenced: deposit is forfeited in full
- Cancellation after ≥60% production completion: additional compensation equal to 30% of total order value is payable
- Refusal to accept conforming goods after FAT approval: full order balance remains due
Hedelong Breach
- Delivery delay beyond the contracted date (excluding Force Majeure): 0.03% daily penalty on the affected order value
- Failure to deliver within 60 days of contracted delivery date: Customer may terminate with full deposit refund plus agreed liquidated damages
- Delivery of non-conforming goods after FAT: Hedelong shall repair, replace, or provide a credit note at its election
- Total aggregate liability capped at 100% of the affected order value
5.2 -- Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Hedelong be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with the supply of products or services, including but not limited to:
- Loss of revenue or profit
- Production downtime or operational losses
- Loss of business opportunity or contracts
- Environmental remediation costs
- Damage to reputation or goodwill
- Third-party claims against the Customer
This limitation applies even if Hedelong has been advised of the possibility of such damages. Hedelong's total cumulative liability in connection with any single order shall in no event exceed the total invoiced value of that specific order.
5.3 Force Majeure
Neither party shall be held liable for delay or failure to perform its obligations to the extent that such delay or failure is caused by a Force Majeure event beyond its reasonable control, including but not limited to: acts of god, war, terrorism, epidemics, pandemics, government actions, strikes, fire, flood, earthquake, port closures, or material supply chain disruptions. The affected party must notify the other in writing within 5 business days of the event occurring and take all reasonable steps to mitigate its impact. If a Force Majeure event continues for more than 90 days, either party may terminate the affected order with a mutual accounting and refund of sums paid for undelivered goods.
5.4 Dispute Resolution Process

Amicable Negotiation
Upon the occurrence of any dispute, the parties shall first attempt to resolve the matter through good-faith direct negotiation. Either party may initiate this process by delivering a written notice of dispute. The parties shall then have 30 calendar days from the date of such notice to reach a mutually satisfactory resolution through discussion at a management level.

Optional Mediation
If direct negotiation fails to produce a resolution within the 30-day period, the parties may, by mutual written agreement, refer the dispute to a neutral mediator or recognized industry association. Mediation is non-binding and voluntary. Costs of mediation shall be shared equally unless otherwise agreed.

Binding Arbitration
Any dispute not resolved through negotiation or mediation shall be finally and exclusively settled by arbitration administered by the Hebei Arbitration Commission, in accordance with its then-current arbitration rules. The place of arbitration shall be Shijiazhuang, Hebei, China. The proceedings shall be conducted in Mandarin Chinese. The arbitral award shall be final, binding, and enforceable in any court of competent jurisdiction.
5.5 -- Governing Law
These Terms and all related transactions shall be governed by and construed exclusively in accordance with the laws of the People's Republic of China. For international cross-border transactions, the United Nations Convention on Contracts for the International Sale of Goods (CISG) may apply where explicitly agreed in writing by both parties. The choice of law does not affect any mandatory consumer protection laws of the Customer's jurisdiction where applicable.
Updates to These Terms
These Terms of Service were last updated on January 1, 2025 (Version 2.1). Hedelong reserves the right to update or modify these Terms at any time to reflect changes in business practices, applicable laws, or operational requirements. Customers will be notified of material changes via email or notice on our website. Continued cooperation following notification of updates constitutes acceptance of the revised Terms. We recommend reviewing these Terms before each new order.
